One Health Group Plc (“One Health” or the “Company”) announces the following dealings in its shares by Lisa Johnson and Nicole Sellars, who are both persons discharging managerial responsibilities in the Company, and by One Health Group Trustees LLP, which is the trustee of the Company’s Employee Benefit Trust and a person closely associated with Derek Bickerstaff and Adam Binns and who are directors of the Company, in each case, pursuant to and subsequent to the exercise of options granted under the One Health Group Limited EMI Share Option Plan (“EMI Options), on 14 March 2023:
Further details of the disclosures made to the Company by Lisa Johnson, Nicole Sellars and One Health Group Trustees LLP are contained in Appendix 1.
Following the above dealings, there is no change to the shareholdings of Lisa Johnson or Nicole Sellars in the Company.
Appendix 2 contains disclosure forms relating to One Health Group Trustees LLP which has notified One Health that it controlled over 3% of the Total Voting Rights in the Company and that its percentage interest has changed as a result of its sale and acquisition of shares in the Company outlined above. Following these dealings, One Health Group Trustees LLP will hold 982,666 shares in the Company, representing approximately 9.79% of the Company’s issued share capital.
